Notice of new share issuance through a third-party rights offering
At the extraordinary general meeting of shareholders held on November 28, 2023, INCIZOR Co., Ltd. resolved to issue new shares by third-party allotment pursuant to Article 10(2) of its Articles of Incorporation. In accordance with Article 418(4) of the Commercial Act, we hereby give notice as follows.
- Class and number of new shares: 1,666 registered common shares
- Total amount raised: KRW 299,880,000
- Issue price per new share: KRW 180,000
- Par value per share: KRW 500
- Payment date for new shares: December 13, 2023
- Method of issuance and allottees: Pursuant to Article 418 of the Commercial Act and Article 10(2) (Preemptive Rights) of the Articles of Incorporation, the new shares are allotted to persons other than existing shareholders (third parties) as below, for the introduction of new technology, improvement of the financial structure and urgent funding.
